These General Terms and Conditions apply to all consulting and development services provided by CloudCops GmbH (“Contractor”) in the areas of cloud infrastructure (Infrastructure as Code) and DevOps. These terms apply exclusively to business-to-business (B2B) contracts. Consumer contracts are not covered.
Offers made by the Contractor are non-binding. A contract is formed when the Contractor confirms the order in writing or begins performance.
Any named personnel referenced in proposals or statements of work indicate planning status only. The Contractor reserves the right to assign qualified alternative personnel. The Contractor may engage subcontractors to fulfill contractual obligations.
The Contractor provides consulting services to the best of its knowledge and in accordance with industry standards. Responsibility for the success of supported projects remains with the Client. Recommendations provided by the Contractor are non-binding unless expressly agreed otherwise.
The Client shall:
Unless otherwise agreed, development services follow an agile methodology. The default sprint cycle is 10 business days. Scope changes during an active sprint require mutual agreement and may affect timelines and costs.
Milestones are typically defined every 3 months as verifiable subpackages. Each milestone represents a self-contained deliverable that can be independently evaluated.
Upon full payment, the Client receives a non-transferable, unlimited-scope, non-exclusive license to use all deliverables. Open Source components included in deliverables are governed by their respective licenses. The Contractor retains the right to use general knowledge, techniques, and methodologies acquired during the engagement.
Services are billed on a time-and-materials basis unless a fixed-price arrangement is explicitly agreed upon. Time is tracked and rounded to 15-minute intervals. Invoices are issued monthly. Effort estimates provided by the Contractor are non-binding projections.
The Client may terminate the engagement after the completion of each 3-month subpackage. Termination must be communicated in writing with a minimum notice period of 30 days before the end of the current subpackage.
The Contractor’s liability is unlimited for damages caused by intent, gross negligence, breach of guarantees, personal injury, or violation of cardinal obligations. In all other cases, liability is excluded to the extent permitted by law.
Both parties agree to treat all confidential information received during the engagement as strictly confidential. This obligation extends for 3 years after termination of the contract.
These terms are governed by German law. The exclusive place of jurisdiction is the registered location of the Contractor (Amtsgericht Bielefeld).
